Terms of Service

1. Acceptance of Terms

By downloading, installing, or using the SettlePay mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

2. Description of Service

SettlePay is a mobile application that helps users discover class action settlements they may qualify for and track potential payouts. The App provides informational services regarding corporate settlements and class action lawsuits.

3. Eligibility

You must be at least 18 years of age to use this App. By using the App, you represent and warrant that you are at least 18 years old.

4. User Account and Security

You may be required to create an account to use certain features of the App. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

5. User Obligations

You agree to:

• Provide accurate, current, and complete information
• Use the App in compliance with all applicable laws and regulations
• Not use the App for any unlawful or fraudulent purposes
• Not attempt to gain unauthorized access to the App or its related systems
• Not interfere with or disrupt the App or servers or networks connected to the App

6. Intellectual Property

The App and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio) are owned by SettlePay, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

7. Information Accuracy and No Guarantees

• The completeness, accuracy, reliability, suitability, or availability of the information
• Your eligibility for any particular settlement
• The likelihood of receiving any settlement payment
• The amount of any potential settlement payment
• The validity, enforceability, or current status of any settlement
• Whether settlement information is current, complete, or accurate

YOU ARE SOLELY RESPONSIBLE FOR: Verifying all settlement information independently, determining your own eligibility, filing claims directly with settlement administrators, and consulting with legal counsel if needed. SettlePay is merely an informational aggregator and has no involvement in the settlement process itself.

8. No Attorney-Client Relationship

Use of the App does not create an attorney-client relationship between you and SettlePay or any of its affiliates. The App provides informational services only and does not constitute legal advice.

9. Third-Party Links and Services

The App may contain links to third-party websites or services that are not owned or controlled by SettlePay. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

10. Subscription and Payments

Certain features of the App may require a paid subscription. By purchasing a subscription, you agree to pay the fees indicated for the selected subscription tier. Subscriptions automatically renew unless canceled before the renewal date. All fees are non-refundable except as required by law.

11. Disclaimers

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

SettlePay does not warrant that:

• The App will function uninterrupted, secure, or available at any particular time or location
• Any errors or defects will be corrected
• The App is free of viruses or other harmful components
• The results of using the App will meet your requirements

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SETTLEPAY, ITS OWNER, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

• Loss of profits, revenue, data, use, goodwill, or other intangible losses
• Personal injury, property damage, or emotional distress
• Errors, mistakes, or inaccuracies in settlement information
• Missed settlement deadlines or opportunities
• Denied or rejected settlement claims
• Failure to receive settlement payments you believed you qualified for
• Your reliance on information provided through the App
• Your access to or use of or inability to access or use the App
• Any conduct or content of any third party on the App
• Any content obtained from the App
• Unauthorized access, use, or alteration of your transmissions or content
• Any bugs, viruses, trojan horses, or the like transmitted to or through the App
• Any errors or omissions in any content or for any loss or damage incurred from use of any content

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless SettlePay and its affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the App.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United States and the Commonwealth of Virginia, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Virginia, and you hereby consent to personal jurisdiction and venue therein.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use the App after any revisions become effective, you agree to be bound by the revised terms.

16. Termination

We may terminate or suspend your account and access to the App immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the App will immediately cease.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

18. Entire Agreement

These Terms constitute the entire agreement between you and SettlePay regarding the use of the App and supersede all prior and contemporaneous written or oral agreements.

19. Waiver

No waiver by SettlePay of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.
